Deerline Advances, a small-business funding broker in Prescott, Arizona, sees name mismatches stall funding files more than almost anything else. This guide explains how Arizona trade names relate to LLC and corporation names, how to search, register and renew a trade name, and why the bank account, the state record and the application must agree.
Trade name, entity name, and why both matter
An LLC or corporation has a legal name on file with the Arizona Corporation Commission, which handles entity filings through its Arizona Business Center (arizonabusinesscenter.azcc.gov). A trade name is a different thing: a name a business operates under that is not its legal name, such as a sole proprietor's shop name or an LLC's storefront brand. In Arizona, trade names are recorded with the Arizona Secretary of State, separately from entity filings.
Why funding partners care
A partner verifying a business compares the name on bank statements with the name on the application and with state records. If the account is in a shop name that appears in no record, or the application uses a brand that differs from the LLC name, the partner stops to ask. Matching names before you apply removes that pause.
This matters most for unincorporated owners. In Prescott, AZ, about 12.0% (+/- 2.7) of employed residents were self-employed in an unincorporated business in 2020-2024, compared with 5.8% (+/- 1.7) in an incorporated one (American Community Survey 5-year estimates). Unincorporated businesses are the ones most likely to operate under a trade name.
Three hypothetical owners, three name setups
- A sole proprietor runs a handyman business as 'Example Handyman Co.'. The bank account carries that name. A partner will look for a trade name record linking it to the owner.
- An LLC named 'Sample Holdings LLC' runs a café called 'Sample Café'. The application uses the LLC name; the card processor pays into an account titled with the café name. The trade name record connects the two.
- A corporation uses only its legal name everywhere. No trade name is needed for the file to line up.
These are invented examples. The point is the chain: every name a partner sees should lead back to the same business through a record.
Step 1: search before you register
Owners search for 'arizona trade name search' and 'arizona trade name lookup'. Search the Secretary of State's trade name records and the Corporation Commission's entity records for the name you want, including close variations. A name already in use by another business can cause confusion with partners and customers alike.
Step 2: register
Arizona trade name filing is done with the Secretary of State. Have the business owner's legal name, the trade name, and the nature of the business ready. Keep the filed certificate: an Arizona trade name certificate is the document partners may ask to see.
Step 3: renew and keep it current
Owners search for 'arizona trade name renewal' as often as for registration, a sign that records need attention after filing. Check the certificate for any expiration date and set a reminder well ahead of it, so a lapsed record never surfaces in the middle of a funding file.
A matching checklist before you apply
| Record | Where it lives | Should match |
|---|---|---|
| Legal entity name | Arizona Corporation Commission (LLCs, corporations) | The application's legal name |
| Trade name | Arizona Secretary of State | The name on the bank account, if different |
| Bank account title | Your bank | One of the two names above |
| Local license or permit | City, town or county | The same name and the right municipality |
Municipality questions are covered in the Prescott, AZ and Prescott Valley, AZ license guide.
If the bank account name is wrong
Sometimes the record is fine but the bank account is titled in a name that appears nowhere else, often a name the business stopped using. Ask the bank how to retitle the account or open one in the correct name, and allow time for statements to build up under it. Partners usually want several months of statements in the name on the application.
Do this well before you need funding. A brand-new account has no history for a partner to read.
What happens next
With names lined up, the funding conversation can focus on the expense. The six funding options and the four steps explain what follows; other guides are on the resources page.
